Dual-Framework Legal Commitment
This document constitutes both the Master Terms of Service (ToS) for global enterprise and retail users and an official Public Offer (Публичная оферта / Public Adhesion Agreement). It is a legally binding agreement between you ("Customer", "User", or "Subscriber") and OpenSeoLab ("Company", "we", "us", or "our") governing access to and use of OpenSeoLab autonomous AI SEO, GEO intelligence agents, anti-fraud bot protection modules, and related cloud infrastructure.
1. Acceptance of Terms & Accedence (Conclusive Actions)
In accordance with standard legal principles of digital adhesion contracts and international SaaS terms, unconditional acceptance of these Terms of Service (and accession to this Public Offer) is accomplished by the Customer performing any of the following conclusive actions (Acceptance):
- Accessing or browsing the OpenSeoLab platform (openseolab.com and subdomains).
- Registering an account or authenticating via Google OAuth or one-time email verification code (OTP).
- Activating a 72-hour trial access token, interactive demo session, or API site key.
- Initiating an autonomous audit, semantic core calculation, Silo architecture build, or article batch generation.
- Subscribing to a paid plan or paying an invoice through supported digital payment gateways.
From the moment any such action is performed, the contract between OpenSeoLab and the Customer is deemed fully concluded and effective.
2. Scope of Services
OpenSeoLab provides next-generation autonomous search and AI intelligence services, including:
- Autonomous website auditing, technical health diagnostics, and E-E-A-T score evaluation.
- L1-L3 semantic Silo architecture synthesis and competitor benchmark analysis.
- Generative Engine Optimization (GEO) content generation optimized for prioritized citation across ChatGPT, Claude, Perplexity, Gemini, and Google AI Overviews.
- Defensive bot protection and click-fraud mitigation middleware (Cloudflare Worker rules, Nginx deny-lists, client ID export for Google Ads and Yandex Direct).
- Export integrations into headless CMS platforms, WordPress, Bitrix, Tilda, and automated sitemap distribution.
3. User Accounts, Security & API Site-Keys
You agree to provide accurate, current, and complete registration data. You are solely responsible for maintaining the confidentiality of your authentication credentials, session cookies, and API site keys. You must immediately notify OpenSeoLab of any unauthorized use or security compromise of your account.
4. Acceptable Use Policy (AUP)
You agree NOT to use the OpenSeoLab platform to:
- Violate any local, national, or international laws or regulations.
- Generate malicious, deceptive, fraudulent, defamatory, or infringing content.
- Perform denial-of-service (DDoS) attacks, automated brute-force attempts, or unauthorized vulnerability scans against OpenSeoLab infrastructure.
- Reverse engineer, decompile, or extract the underlying model weights, defensive heuristic algorithms, or proprietary source code of the platform.
- Bypass or attempt to circumvent our rate limiting, anti-fraud verification, or subscription paywalls.
5. Intellectual Property & Customer Ownership
- Customer Ownership: You retain 100% full, exclusive, worldwide, and perpetual commercial ownership and copyright to all custom articles, L1-L3 site structures, content plans, and exported materials generated through your paid subscription with OpenSeoLab.
- Platform Ownership: OpenSeoLab and its licensors retain all right, title, and interest in and to the platform, including proprietary algorithms, agent coordination engines, bot-detection heuristics, user interfaces, documentation, and trademarks.
6. Subscriptions, Fees & Payment Terms
- Billing: Paid services are billed on a subscription basis (monthly or annually) or according to enterprise service contracts. Fees are charged in USD or EUR as indicated at checkout.
- Merchant of Record (Lemon Squeezy): Our order process for digital software licenses, API subscriptions, and bot protection plans is conducted by our online reseller and Merchant of Record, Lemon Squeezy (Lemon Squeezy LLC, lemonsqueezy.com). Lemon Squeezy acts as the official Merchant of Record for all applicable digital transactions, handling payment processing, billing disputes, global sales tax/VAT compliance, and returns.
- Fulfillment & Digital Provisioning: Services and software licenses are considered fully and properly rendered upon automated provisioning of API site-keys, access tokens, calculated semantic matrices, or defensive bot-protection telemetry logs.
- Trial Access: Trial tokens and demo licenses are granted on a strictly discretionary, temporary basis (standard 72-hour access window). OpenSeoLab reserves the right to terminate or limit trial access at any time.
- Refund Policy & Money-Back Guarantee: Initial purchases of standard subscription plans include a 14-day Money-Back Guarantee subject to our Refund Policy. To request a refund, contact [email protected] or utilize the support options in your Lemon Squeezy order receipt.
7. Disclaimer of Warranties & Algorithmic Reality
The platform is provided on an "AS IS" and "AS AVAILABLE" basis. While our specialized agents are engineered for state-of-the-art SEO and GEO visibility, search engine algorithms (e.g. Google, Yandex) and third-party LLMs (OpenAI, Anthropic, Google Gemini) operate autonomously and change frequently. OpenSeoLab does not guarantee specific external search ranking positions or commercial conversion yields.
8. Limitation of Liability & Force Majeure
Neither Party shall be held liable for partial or complete failure to perform contractual obligations if caused by force majeure events (natural disasters, war, legislative bans, international telecommunication failures, or upstream cloud provider disruptions). To the maximum extent permitted by applicable law, OpenSeoLab's total cumulative liability arising out of or related to these Terms shall not exceed the total amounts paid by Customer to OpenSeoLab in the twelve (12) months preceding the claim.
9. Validity, Modification & Termination
These Terms and Public Offer are valid from the moment of publication on the website until official revocation by OpenSeoLab. OpenSeoLab reserves the right to update these Terms at any time. Continued use of the platform following any modifications constitutes full acceptance of the updated terms.
10. Governing Law, Dispute Resolution & Contractor Requisites
These Terms shall be governed by and construed in accordance with the principles of international commercial contract law and applicable statutory jurisdiction, without regard to conflict of law principles. Any dispute arising out of this agreement shall first be subject to good-faith informal negotiation before submission to binding international arbitration.
